These Terms of Service ("Terms") govern your use of the website and services of XBRL Express, operated by Complynest Private Limited (CIN U67100WB2022PTC254801), a company incorporated in India, with its registered office at 23A, 11th Floor, Room No. 30, Fortuna Tower, N. S. Road, Kolkata - 700001, West Bengal, India ("we", "us"). By creating an account, paying a fee or using the portal you agree to these Terms, our Privacy Policy, Refund & Cancellation Policy and Service Delivery Policy. These Terms are an electronic record under the Information Technology Act, 2000 and need no physical signature.
The service is for companies, their directors, officers, authorised representatives and professionals ("Client") who are at least 18 years old and legally able to contract. By registering you confirm that you are authorised to act for the company you file for.
We prepare XBRL instance documents (XML) for filing with the Ministry of Corporate Affairs ("MCA"), a review PDF, and an observations note, based solely on the documents and information you provide. Optional filing support (preparation of AOC-4 XBRL and allied forms, professional certification and filing with MCA) is provided on request and charged separately. We are not the MCA, are not affiliated with or endorsed by any government body, and the MCA's rules, validation tools and portal remain outside our control.
Fees are shown in Indian Rupees on the pricing page: currently ₹2,999 per company for companies following Accounting Standards (C&I taxonomy) ₹4,999 per company for Ind AS companies ₹11,999 per company for listed companies and ₹29,999 per company for Fortune 500 companies. Each price is for one XBRL instance document (standalone or consolidated); a filing covering both standalone and consolidated statements requires two instances and is charged at twice the plan price, plus GST at 18%. Professional certification (currently ₹1,500) and the MCA filing fee (currently ₹200 to ₹600 depending on the applicable slab) are separate, requested after you approve the draft and notified before you pay. MCA filing fees are statutory fees collected for the Government and carry no GST. Payments are processed by Cashfree Payments India Pvt. Ltd. through its payment gateway; we do not store your card, UPI or bank details. Statutory fees paid to MCA are not refundable by us.
We aim to share the draft within 24 working hours after you have submitted complete and correct documents and information and the service fee has been paid. No payment is asked before submission. Working hours are 10:30 AM to 6:00 PM IST, Monday to Friday. Saturdays, Sundays and public holidays applicable at Kolkata are not counted, so 24 working hours is a little over three working days; time outside working hours does not count towards the period. The period starts when you press "Submit", pauses while we await clarification or missing documents, and restarts when corrected documents are received.
The delivery time is subject to the correctness, completeness and internal consistency of the balance sheet, statement of profit and loss, notes and other financial data you provide. Where the data contains mistakes, mismatches or omissions, or does not fit the applicable MCA taxonomy, the timeline does not apply until the issue is resolved; we will point the issue out to you. Delivery means the draft is available for your review in the portal; it does not mean the form has been filed with MCA.
The delivery time is a service target, not a guarantee. We are not responsible or liable, and cannot be held responsible, where a draft or filing cannot be delivered, or is delayed, for any technical reason, including failure or unavailability of the MCA portal, MCA validation tool or taxonomy, our software, hosting, email or internet services, or the payment gateway, or any other technical cause whether or not within our control. In such a case your sole remedy is the refund of the service fee for the affected filing as set out in the Refund Policy; you remain responsible for filing within the statutory time by other means.
Our observations note is based on a reasonable review of the documents supplied, for the purpose of preparing the XBRL file. It is not an audit, a legal opinion or a certification of the accounts, and it may not identify every error or non-compliance. The responsibility for the financial statements, their audit and statutory compliance remains with the company, its directors and its auditor.
We treat your documents as confidential and use them only to provide the service, as described in the Privacy Policy.
The website, software, design and templates belong to us or our licensors. You receive a limited, non-transferable right to use the service for your own filings. The documents you upload and the XBRL files prepared from them remain yours.
We provide the service with reasonable skill and care. Except as stated in these Terms, we make no other warranty. To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, penalties or additional fees arising from late filing, delays or rejections by MCA, MCA portal downtime, or technical failure of any system or service used to deliver the service, or inaccurate or incomplete information you supplied. Our total liability for any claim relating to a filing is limited to the fees you paid to us for that filing. Nothing here limits liability that cannot be limited by law.
We may suspend or close an account for breach of these Terms, non-payment, suspected fraud or misuse, with notice where practicable. You may stop using the service at any time; the Refund Policy applies to fees already paid.
We are not responsible for delay or failure caused by events beyond reasonable control, including MCA/internet outages, changes in law or taxonomy, natural events or payment-gateway downtime.
We may update these Terms, the policies and the pricing; the version date above shows the latest. Continued use after a change means acceptance. Fees already paid are not affected.
These Terms are governed by the laws of India. Please first write to us at complynest@gmail.com; we will try to resolve the matter within 30 days. Any dispute not resolved will be subject to the exclusive jurisdiction of the courts at Kolkata, India.
